These Terms of Service (“Terms”) govern your access to and use of Nalvin products, services, features, technologies, websites, plug-ins, integrations, and mobile applications (collectively, the “Services”), provided by Version Lens Sweden AB (“Version Lens”, “Nalvin”, “we”, “our”, “us”).
By creating an account, accessing, or using the Services, you (“you”, “user”, or “customer”) agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Scope and Eligibility
These Terms apply to all users, including individual users and business users.
The Services are offered by Version Lens Sweden AB, a company registered in Sweden.
The Services cover all Nalvin offerings, including the platform, APIs, integrations, plug-ins, and mobile applications.
You must be at least 18 years old or have the legal capacity to enter into contracts in your jurisdiction to use the Services.
2. Accounts and Access
To use the Services, you must create an individual account. Accounts may be created directly by individuals or by organizations for their employees.
You are responsible for keeping your account credentials secure. Nalvin is not liable for unauthorized use of your account if you fail to protect your credentials.
You agree to provide accurate, current, and complete information during registration and to keep it up to date.
You must not use the Services for any unlawful purpose or in violation of these Terms.
3. Acceptable Use
You agree not to:
Access or attempt to access the Services by any means other than the interface provided.
Copy, modify, reverse-engineer, decompile, or disassemble the Services.
Scrape, crawl, or attempt to extract data from the Services except as expressly permitted.
Use the Services to build, train, or improve AI models.
Introduce viruses, malware, or harmful code into the Services.
Use the Services in a manner that infringes on intellectual property rights or violates applicable laws.
Nalvin reserves the right to suspend or terminate accounts engaged in prohibited activities.
4. Subscription, Billing, and Payments
Payments are processed securely via Stripe, or by invoice upon request for customers on a business plan.
Pricing, payment terms, renewals, and billing details may vary by customer and are displayed at the time of purchase or renewal.
By subscribing, you agree to the billing terms presented at checkout.
No refunds are offered. If you cancel your subscription, you may continue to use Nalvin until the end of the current billing period.
Nalvin reserves the right to update pricing from time to time. Any changes will not affect the current billing cycle and will be communicated in advance.
Failure to pay may result in suspension or termination of your account.
5. Intellectual Property
All intellectual property rights in the Services, including trademarks, designs, software, and content, are owned by Version Lens Sweden AB.
You are granted a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal business or personal use during the subscription term.
You may not remove or alter any copyright, trademark, or other proprietary notices.
By submitting feedback or suggestions, you grant Nalvin a worldwide, perpetual, irrevocable license to use such feedback without restriction.
6. Data and Privacy
Your personal data will be processed in accordance with our Privacy Policy, available at www.nalvin.com/legals/privacy-policy.
Customer Content (data you provide, upload, or integrate into Nalvin) remains your property. Nalvin processes it solely on your behalf.
You are solely responsible for the legality, reliability, and accuracy of your Content. Nalvin disclaims any liability for Content provided by users.
Data created exclusively within Nalvin may not be exportable upon cancellation of services. Data created in third-party systems (e.g., project management tools, communication platforms) remains with those systems.
7. Service Availability and Support
Nalvin aims to maintain 99% uptime for its Services, excluding planned maintenance, force majeure events, or circumstances beyond our reasonable control.
While we strive for high availability, Nalvin does not legally guarantee uptime under these Terms.
Nalvin does not provide service credits or compensation for downtime unless covered under a separate SLA.
Formal Service Level Agreements (SLAs) are available under separate agreements for business plan customers.
8. Warranties and Disclaimers
The Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied.
Nalvin disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nalvin does not warrant that the Services will be error-free, secure, or free from interruptions.
9. Limitation of Liability
To the maximum extent permitted by law:
Nalvin shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
Nalvin’s total liability for any claim relating to the Services shall not exceed the fees paid by you to Nalvin in the 12 months preceding the claim.
This limitation shall not apply in cases of (a) wilful misconduct, (b) fraud, or (c) death or personal injury caused by negligence, where liability cannot be excluded under law.
10. Termination and Suspension
Nalvin may suspend or terminate your account immediately if you:
Fail to pay subscription fees.
Breach these Terms.
Use the Services in a manner that poses a security risk or could harm other users.
Nalvin may also terminate the Services for convenience by providing 30 days’ notice to users.
Upon termination, your license to use the Services ends immediately.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed under the laws of Sweden.
Any dispute, controversy, or claim arising out of or relating to these Terms shall be finally resolved by arbitration under the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce (SCC).
The seat of arbitration shall be Stockholm, Sweden, and the language shall be English, unless otherwise agreed.
12. Miscellaneous
Force majeure: Nalvin is not responsible for failures caused by events beyond its reasonable control.
Assignment: You may not assign these Terms without our prior written consent. We may assign or transfer our rights without restriction.
Severability: If any provision of these Terms is found invalid, the remaining provisions shall remain in effect.
Entire Agreement: These Terms constitute the entire agreement between you and Nalvin regarding the Services.
Amendments: Nalvin may update these Terms from time to time. Updated versions will be posted on our website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
